MUTTYTONES

This Terms of Service and End User License Agreement ("Agreement") is a legally binding agreement between you ("User," "you," or "your") and MuttyTones ("MuttyTones," "we," "us," or "our"), governing your access to and use of MuttyTones.com, including all related websites, applications, services, content, and features (collectively, the "Platform").

By accessing or using the Platform, you agree to be bound by this Agreement. If you do not agree, do not access or use the Platform.

1. ELIGIBILITY AND USE BY MINORS

The Platform is intended for users who are at least 13 years of age.

If you are under the age of 18, you may use the Platform only with the consent, involvement, and supervision of a parent or legal guardian. By permitting a minor to use the Platform, the parent or legal guardian:

• Consents to this Agreement on behalf of the minor;
• Accepts full responsibility for the minor's use of the Platform;
• Agrees to supervise the minor's activity;
• Accepts liability for any violation of this Agreement by the minor.

If you are a parent or legal guardian, you represent that you have the legal authority to consent on behalf of the minor.

2. DESCRIPTION OF THE PLATFORM

MuttyTones provides educational and instructional content related to music, including but not limited to lessons, courses, audio files, digital downloads, masterclasses, and community features ("Content").

The Platform is not a child-directed service. Content is educational in nature and may be more suitable for older teens and adults.

We reserve the right to modify, suspend, or discontinue any part of the Platform at any time without notice.

3. LICENSE GRANT (END USER LICENSE)

Subject to your compliance with this Agreement, MuttyTones grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

• Access and use the Platform for personal, lawful, non-commercial purposes; and
• Download or stream Content solely as permitted by this Agreement and any additional license terms associated with specific Content.

All Content is licensed, not sold, unless expressly stated otherwise.

4. LICENSE RESTRICTIONS

You may not:

• Copy, reproduce, distribute, sell, resell, sublicense, share, or exploit Content except as expressly authorized;
• Use Content for commercial purposes without written permission;
• Modify, adapt, reverse engineer, decompile, or create derivative works from the Platform or Content;
• Circumvent security features or access controls;
• Remove or alter copyright, trademark, or proprietary notices;
• Use the Platform for any unlawful, harmful, or abusive purpose.

All rights not expressly granted are reserved by MuttyTones.

5. USER ACCOUNTS

Certain features may require you to create an account. You agree to:

• Provide accurate and current information;
• Maintain the confidentiality of your login credentials;
• Accept responsibility for all activity conducted through your account.

Parents or guardians are responsible for any account created or used by a minor.

6. USER CONTENT

If you submit, upload, or transmit content to the Platform ("User Content"), you retain ownership of your User Content. However, you grant MuttyTones a worldwide, royalty-free, non-exclusive license to use, host, reproduce, display, and distribute such User Content solely in connection with operating, improving, and promoting the Platform.

You represent that you have all necessary rights to submit User Content and that it does not infringe the rights of any third party.

7. PAYMENTS AND PURCHASES

Certain features or Content may require payment. All fees are listed in the applicable currency and are non-refundable, except as required by law or expressly stated otherwise.

Any purchases made by a minor must be authorized by a parent or legal guardian. The parent or legal guardian is solely responsible for all charges incurred by a minor.

MuttyTones may use third-party payment processors and is not responsible for their actions or security practices.

8. INTELLECTUAL PROPERTY

The Platform and all Content, including text, audio, video, software, designs, logos, and trademarks, are owned by or licensed to MuttyTones and are protected by intellectual property laws.

Nothing in this Agreement grants you ownership of any intellectual property rights.

9. COPYRIGHT INFRINGEMENT (DMCA)

If you believe that your copyrighted work has been infringed, please submit a notice including:

• Identification of the copyrighted work;
• Identification of the infringing material;
• Your contact information;
• A statement of good-faith belief;
• A statement made under penalty of perjury;
• Your physical or electronic signature.

10. CHILDREN'S DATA AND PRIVACY

MuttyTones does not knowingly collect personal information from children under the age of 13 without verified parental consent. If you believe a child has provided personal information without proper consent, please contact us at administrator@jaharistampley.com, and we will take appropriate action.

11. TERMINATION

We may suspend or terminate your access to the Platform at any time, with or without notice, for violation of this Agreement or for any lawful reason.

Upon termination, all licenses granted to you immediately cease.

12. DISCLAIMER OF WARRANTIES

THE PLATFORM AND CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, MUTTYTONES DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT GUARANTEE THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

13. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MUTTYTONES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM OR CONTENT.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO MUTTYTONES IN THE SIX (6) MONTHS PRECEDING THE CLAIM.

14. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless MuttyTones from any claims, liabilities, damages, losses, and expenses arising from your use of the Platform, violation of this Agreement, or infringement of any third-party rights.

15. GOVERNING LAW AND VENUE

This Agreement shall be governed by and construed in accordance with the laws of the USA, without regard to conflict-of-law principles.

Any disputes shall be resolved exclusively in the courts located in Chicago, unless otherwise required by law.

16. CHANGES TO THIS AGREEMENT

We may update this Agreement from time to time. Continued use of the Platform after changes become effective constitutes acceptance of the revised Agreement.
